Terms of Service — Shivansh Infosys

These Terms of Service ("Terms") govern your access to and use of the services provided by Shivansh Infosys ("Company", "we", "us", or "our"), an authorized Tally 3-Star Certified Sales & Implementation Partner. Our services include the sale of TallyPrime licenses, TDL customization, implementation, GST compliance support, and related technical services. By engaging our services or using our website, you agree to be bound by these Terms.

Note: TallyPrime software itself is the proprietary product of Tally Solutions Pvt. Ltd. and is additionally governed by Tally's own Terms of Use at tallysolutions.com. These Terms cover services provided by Shivansh Infosys specifically.

1. Acceptance of Terms

By contacting us for a quote, placing an order, using our website, or engaging any of our services — including TallyPrime license purchase, TDL customization, implementation, training, or support — you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms constitute a legally binding agreement between you (the client or user) and Shivansh Infosys. If you are engaging our services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, please refrain from using our services.

2. Description of Services

Shivansh Infosys is an authorized Tally 3-Star Certified Sales & Implementation Partner. We provide the following services:

  • Sale of official TallyPrime Silver and Gold licenses (single-user and multi-user) and TallyPrime Server licenses
  • TDL (Tally Definition Language) customization — custom invoice formats, reports, add-on modules, and API integrations
  • GST configuration, e-invoice portal integration, and e-way bill setup within TallyPrime
  • TallyPrime implementation, data migration from legacy systems (e.g. Marg, QuickBooks, Zoho Books), and deployment
  • Annual technical support plans via phone, WhatsApp, and remote desktop assistance
  • TallyPrime user training and onboarding for staff and teams
  • Tally on Cloud — secure hosted TallyPrime with multi-user access and daily backups

The scope, deliverables, timeline, and pricing for each engagement are confirmed in writing (via email, quotation, or purchase order) before work begins. We reserve the right to decline or discontinue any service at our discretion, with reasonable notice to you.

3. Tally License Sales

Shivansh Infosys sells genuine TallyPrime licenses as an authorized Tally partner. By purchasing a Tally license through us, you acknowledge and agree to the following:

Your Responsibilities

  • License is for use by the purchasing entity only — not for resale or transfer
  • You must comply with Tally Solutions' own Terms of Use available at tallysolutions.com
  • Silver (single-user) licenses may only be active on one machine at a time
  • You are responsible for timely TSS (Tally Software Service) renewal to maintain updates and connected services

Our Role as Reseller

  • We act as an authorized reseller — the license agreement is ultimately between you and Tally Solutions Pvt. Ltd.
  • License pricing is as set by Tally Solutions and does not vary between authorized partners
  • We are not liable for software defects, bugs, or product discontinuation by Tally Solutions
  • Product warranty and updates are governed by Tally Solutions' TSS terms

4. TDL Customization & Support Services

TDL (Tally Definition Language) modules, add-ons, and customizations developed by Shivansh Infosys are delivered under the following terms:

  • Scope agreement: All TDL work is scoped and confirmed in writing before development begins. Changes to scope after commencement may attract additional charges.
  • Ownership: Custom TDL modules developed exclusively for you under a paid engagement become yours upon full payment. Standard or catalogue TDL add-ons sold as products remain the intellectual property of Shivansh Infosys and are licensed to you for use in your business only.
  • Compatibility: TDL modules are developed for the TallyPrime version specified at time of engagement. Compatibility with future TallyPrime versions is not guaranteed and may require paid updates.
  • Support coverage: Annual support plans cover phone, WhatsApp, and remote assistance for issues within the agreed scope. Support does not cover issues caused by unauthorized modifications, third-party integrations, or hardware failures.
  • Training: Training sessions are conducted as agreed in the engagement scope. Additional sessions are billed separately.

5. Acceptable Use

When using our services, website, or any TDL modules or add-ons provided by us, you agree not to:

Prohibited Activities

  • Resell, sublicense, or distribute TallyPrime licenses purchased through us without separate written authorization from Tally Solutions
  • Share, resell, or distribute TDL modules or add-ons developed by Shivansh Infosys to any third party without a separate licensing agreement
  • Reverse engineer, decompile, or modify TDL modules or add-ons developed by Shivansh Infosys
  • Use TDL customizations delivered for your business in any other business entity without a separate agreement
  • Provide false or misleading information when requesting quotations, support, or services
  • Tamper with or circumvent Tally license activation, TSS subscriptions, or any licensing mechanisms
  • Use our services in violation of any applicable Indian law, including GST, income tax, or company law regulations
  • Misrepresent your business type or size to obtain services at incorrect pricing tiers

6. Privacy Policy

Your privacy matters to us. When you contact us for a quote, raise a support request, or engage our services, we collect certain business and contact information — such as your name, company name, phone number, email address, and GSTIN — solely to fulfill and support your service engagement.

How We Use Your Information

  • To process and fulfill TallyPrime license orders and register licenses with Tally Solutions on your behalf
  • To communicate about your service requests, support tickets, and engagement progress
  • To send TSS renewal reminders and relevant service updates (you may opt out of marketing communications at any time)
  • We do not sell, rent, or share your personal or business information with third parties except as required by Tally Solutions for license registration, or as required by law

7. Intellectual Property

Intellectual property in the context of our services is split between two distinct parties:

Tally Solutions Pvt. Ltd.

TallyPrime, TallyPrime Server, Tally.ERP 9, and all related Tally software, trademarks, and branding are the exclusive intellectual property of Tally Solutions Pvt. Ltd. Shivansh Infosys is an authorized reseller and does not claim any ownership over Tally software or its branding. Use of TallyPrime is governed by Tally Solutions' own Terms of Use.

Shivansh Infosys

All TDL modules, add-ons, customizations, reports, and solutions developed by Shivansh Infosys remain our intellectual property unless explicitly transferred to the client under a separate written agreement. Custom work developed exclusively for a client and fully paid for transfers to the client upon final payment. Catalogue or standard add-on products are licensed to the client for internal business use only and may not be redistributed or resold.

8. Payments & Refunds

All prices are quoted in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise. Payment terms are as agreed in the quotation or purchase order for each engagement.

Tally Licenses

  • License fees are non-refundable once the license has been activated or the activation key has been issued
  • TSS renewal fees are non-refundable once the subscription has been renewed
  • In the event of a Tally Solutions pricing change, your confirmed quotation price will be honoured for 7 days from the date of issue

TDL & Services

  • Custom TDL and implementation work requires an advance payment as per the agreed milestone schedule
  • Work already completed and delivered is non-refundable
  • Disputes on deliverables must be raised within 7 days of delivery; issues raised after this period may be treated as new support requests

9. Limitation of Liability

IMPORTANT — Please read carefully

Shivansh Infosys acts as an authorized reseller and implementation partner — not the developer of TallyPrime. We are not liable for software defects, product discontinuation, compliance changes, or data loss arising from TallyPrime itself. Such matters are governed by Tally Solutions Pvt. Ltd.'s own warranty and liability terms.

For services directly provided by Shivansh Infosys (implementation, TDL customization, support, training), our total liability for any claim shall not exceed the amount paid to us for the specific service giving rise to that claim.

We are not liable for indirect, incidental, or consequential damages including but not limited to: loss of business data, GST penalties arising from incorrect data entry by the client, operational disruptions due to hardware or network failure, or losses arising from decisions made based on TallyPrime reports or outputs.

10. Termination

Either party may terminate an ongoing service engagement with written notice (email is acceptable). The following applies upon termination:

  • Payment is due for all work completed and delivered up to the date of termination
  • TallyPrime licenses already issued are not revoked on termination of a service engagement — the license continues under Tally Solutions' own terms
  • TDL modules fully paid for and delivered remain with the client; modules not yet delivered or not yet fully paid for remain with Shivansh Infosys
  • Active annual support plans may be terminated by either party with 30 days written notice; a pro-rated refund for unused months may be considered at our discretion
  • We reserve the right to suspend service immediately in cases of non-payment, breach of these Terms, or misuse of our services

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

In the event of a dispute, both parties agree to first attempt amicable resolution within 30 days of written notice of the dispute. If unresolved, the matter may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with proceedings conducted in Surat, Gujarat.

12. Changes to Terms

We reserve the right to update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. For significant changes affecting ongoing service engagements, we will notify you by email or WhatsApp.

Continued use of our services or website after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing this page periodically. Terms applicable to a specific engagement confirmed in writing (quotation or purchase order) will not change retroactively for that engagement.
